These terms are the agreement between you and Listo for using the app and this website.
We’ve kept them as plain as we can. Please read them, together with our
privacy policy.

Summary
Your lists are yours. We store and sync them only to run Listo
for you and the people you share with. We don’t sell them, advertise with them or
use them to train AI.
Lists, notes, Spaces and everything else that doesn’t use AI are free. Listo Pro
is an optional subscription for the AI features, billed by Apple or Google, and
renews until you cancel it in your store settings.
AI results are suggestions. Check quantities, prices, steps and warnings before
you rely on them.
This summary is for convenience; the sections below are the actual terms. In these
terms, “Listo,” “we,” “us” and “our” mean Sean Marroquin, the operator of the Listo
app and heylisto.app. “You” means the person using Listo. “The app” means the Listo
app on any platform, and “the service” means the app, our servers, and this website
together.
1. Agreeing to these terms
By downloading, opening or using Listo, you agree to these terms. If you don’t agree,
please don’t use Listo. Our privacy policy explains how we
handle your information and is part of how we provide the service, but it is a
separate document.
2. Who can use Listo
You must be at least 13 years old, or the minimum age of digital consent where you
live if that is higher, to use Listo. If you are under 18 (or the age of majority
where you live), you may use Listo only with the involvement of a parent or guardian,
who must agree to these terms and make any purchase on your behalf.
3. Your account
The first time you open the app, it creates a private, anonymous account for you, so
your content can sync between your devices and be shared. You don’t need to give us a
name, email address or password.
Link your account if you want to keep it. Until you link it to Apple,
Google or an email address under Settings → Account, the only way
back into an anonymous account is the device it was created on. If you delete the app,
reset or lose that device before linking, we may not be able to recover your account
or the lists in it. Settings → Account → Export my data lets you keep
your own copy at any time.
You are responsible for what happens on your account and for keeping the devices and
sign-in methods you use with it secure. Tell us at
support@heylisto.app if you think someone
else has access to it.
4. Your content
“Your content” means the lists, items, notes, Spaces, display name and anything else
you create in or send to Listo, including recordings, photos, links and requests you
send to an AI feature.
You own your content. These terms don’t give us ownership of
anything you create.
You let us handle it to run Listo. You give us a worldwide,
non-exclusive, royalty-free permission to store, copy, sync, process and display
your content only as needed to provide the service to you — for example, to sync it
to your devices, show a shared list to the people you invited, or send a recording
to our AI provider when you ask for a voice list. This permission ends when your
content is deleted, except for copies that remain for a limited time in backups, as
described in our privacy policy.
We don’t use it for anything else. We don’t sell your content, use
it for advertising, or use it to train AI models.
You’re responsible for it. Only add content you have the right to
use, and that doesn’t break the law or these terms.
We work hard to keep your content safe, but no service is perfect. For anything you
can’t afford to lose, keep your own copy using Export my data.
5. Shared lists
When you invite someone to a list, everyone you approve can see it, and editors can
change it. Anything you add to a shared list can be seen by everyone on it, so share
only with people you trust, and don’t share an invite link publicly.
A shared list belongs to the person who created it. The owner can approve, remove or
block members and revoke invites at any time. If you add items to someone else’s list,
those items stay on their list after you leave it or delete your account. Be
respectful to the people you share with; using a shared list to harass or spam someone
breaks these terms.
6. AI features
Voice lists, the AI Planner, “suggest items,” and importing a link or a photo use
artificial intelligence provided by OpenAI to turn what you send into a draft list.
They are optional; everything else in Listo works without them.
AI can be wrong. It may mishear a word, miss or invent an item, or
get a quantity, price, step or warning wrong. Prices are rough estimates and vary by
seller, place and date. You review every draft before it is saved, and you are
responsible for checking it before you rely on it.
Not professional advice. AI results are general suggestions for
everyday planning. They are not medical, nutritional, allergy, financial, legal,
electrical, structural or safety advice. Always follow product labels, manufacturer
instructions and local rules, and ask a qualified professional where it matters.
What you send. Send only recordings, photos and requests you are
allowed to share. Don’t record other people without their permission where the law
requires it.
Imported links. When you import a link, our service fetches that
public page so the AI can read it. Import only pages you’re entitled to use for your
own, personal lists. We are not responsible for the content of other websites.
Availability. AI features need an internet connection and depend on
our AI provider. We may limit, pause or change them — for example, to protect the
service from abuse or during an outage at our provider.
7. Free and Listo Pro
Free
Lists, notes, Spaces, aisle grouping, templates, repeating lists, reminders, budgets,
search, favorites, the archive and shared lists are free, without ads. Each
installation of the app may also try a voice list and an AI plan once each, for free.
This one-time trial does not refill, and AI plans include the AI Planner, “suggest
items” and link and photo imports.
Listo Pro
Listo Pro is an optional subscription that unlocks the AI features. It includes a
monthly allowance of 150 voice lists and 150 AI plans, and single recordings of up to
5 minutes (Free recordings are limited to 60 seconds). Allowances refill on the 1st of
each month (UTC), and unused uses don’t carry over. The allowances that apply to you
are shown in the app before you subscribe and under
Settings → AI allowance.
The allowances are there so Listo can offer AI at a fair price, and they are well
above what ordinary use needs. We may change them for future periods; if we lower
them, we will tell you in the app before the change applies. We may temporarily limit
an installation that appears to be automated, shared beyond personal use, or abusing
the service.
8. Subscriptions and billing
Who bills you. Listo Pro is sold through the Apple App Store or
Google Play, and payment is charged to your Apple or Google account when you confirm
the purchase. Apple’s or Google’s terms govern the payment. We never see your card
details.
Prices. Listo Pro is offered monthly and yearly. The price, in your
currency and including any applicable taxes your store collects, is shown before you
subscribe. If we change the price, your store will tell you in advance and, where
required, ask for your consent before the new price applies.
Automatic renewal. A subscription renews automatically at the end
of each period, at the then-current price, unless you cancel it at least 24 hours
before the period ends. Your store account is charged for renewal within 24 hours
before the period ends.
Free trials. Where a free trial is offered (currently 7 days on the
yearly plan), the subscription starts and you are charged when the trial ends unless
you cancel at least 24 hours before it does. A trial is offered once per store
account.
Cancelling. Manage or cancel your subscription in your App Store or
Google Play account settings. Deleting the app or your Listo account does not cancel
it. When you cancel, you keep Pro until the end of the period you’ve paid for.
Refunds. Purchases are handled by Apple or Google, so refunds are
requested from them and follow their policies; we can’t issue them directly. This
doesn’t affect any rights you have under the law where you live.
Restoring. If you reinstall the app or move to a new device signed
in to the same store account, use Restore purchase on the paywall
or in Settings to get Pro back.
9. Acceptable use
Please use Listo the way it’s meant to be used. You agree not to:
break the law, or use Listo to harm, harass, threaten or spam anyone;
store or share content that is illegal, or that infringes someone else’s rights;
access another person’s account or lists without permission, or try to get around
sharing approvals, access rules, allowances, trials or subscription checks;
use the AI service other than through the app, call it with automated scripts, or
send it unusual volumes of requests;
interfere with, overload, probe or attack the service, or introduce malware into it
— if you find a security problem, please report it as described in our
security contact;
copy, resell or commercially exploit the service, or reverse engineer it except
where the law allows despite this restriction.
10. Our app and brand
We give you a personal, non-exclusive, non-transferable, revocable license to install
and use the app on devices you own or control, for your own, non-commercial use, in
line with these terms and your app store’s rules. The app, the service, and the Listo
name, logo and design belong to us or our licensors and are protected by law. These
terms don’t give you any right to use our name or logo. Some parts of the app are open
source software provided under their own licenses, which apply to those parts.
If you send us ideas or feedback, we may use them without owing you anything, but
we’ll always appreciate them.
11. Third-party services
Listo relies on other companies to work, including Apple and Google (app distribution,
payments, notifications and optional sign-in), Supabase (accounts and sync), OpenAI
(AI features) and RevenueCat (subscription status). Your use of Apple and Google
services is also governed by their own terms. Links to other websites, including pages
you import, are not under our control, and we’re not responsible for them.
12. App Store and Google Play
If you got Listo from the Apple App Store, you and we also agree that:
these terms are between you and us only, not Apple, and we — not Apple — are
responsible for the app and its content;
your license to use the app is limited to Apple-branded devices you own or control,
as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions,
which also apply;
Apple has no obligation to provide maintenance or support for the app;
if the app fails to conform to any applicable warranty, you may notify Apple and
Apple will refund the purchase price, if any; to the extent permitted by law, Apple
has no other warranty obligation for the app;
Apple is not responsible for addressing any claims by you or a third party relating
to the app, including product liability claims, claims that the app fails to meet a
legal or regulatory requirement, and consumer protection or privacy claims;
if a third party claims the app or your use of it infringes their intellectual
property rights, we — not Apple — are responsible for investigating, defending,
settling and discharging that claim;
you confirm that you are not located in a country subject to a U.S. Government
embargo or designated as a “terrorist supporting” country, and that you are not on
any U.S. Government list of prohibited or restricted parties;
you must follow any applicable third-party terms, such as your mobile carrier’s,
when using the app; and
Apple and its subsidiaries are third-party beneficiaries of these terms and, once
you accept them, may enforce them against you.
If you got Listo from Google Play, Google Play’s Terms of Service also apply to your
download and purchases. Google is not a party to these terms.
13. Changes to Listo
We’re always improving Listo, so features may be added, changed or removed. Some
features may not be available on every device or in every country. If we ever decide
to shut down the service, we’ll give you at least 30 days’ notice in the app or on
this website so you can export your content, and we will stop renewing subscriptions.
Content already on your device will remain there.
14. Ending your use
You can stop using Listo at any time. To remove your account and its synced content
from our servers, use Settings → Account → Delete account and data,
or email us if you no longer have the app. Remember to cancel any subscription in your
store settings, too.
We may suspend or end your access to all or part of the service — for example, the AI
features — if you seriously or repeatedly break these terms, if your use puts the
service or other people at risk, or if the law requires it. Where it’s reasonable, we
will tell you first and give you a chance to fix the problem and to export your
content. Sections 10 and 15 to 21 continue to apply after your use ends.
15. Disclaimers
We work hard to make Listo reliable, but we provide it “as is” and “as available.” To
the fullest extent permitted by law, we make no warranties, express or implied —
including warranties of merchantability, fitness for a particular purpose,
non-infringement, or that the service will be uninterrupted, error-free or secure, or
that AI results will be accurate. Reminders and notifications depend on your device
and its settings and may be delayed or not delivered, so don’t rely on Listo for
anything critical, such as medication or safety reminders.
Some places don’t allow these exclusions, so some of them may not apply to you.
Nothing in these terms limits rights you have under consumer protection laws that
can’t be waived by contract.
16. Limitation of liability
To the fullest extent permitted by law, Listo will not be liable for any indirect,
incidental, special, consequential or punitive damages, or for any loss of data,
profits or goodwill, arising from or related to your use of the service. Our total
liability for all claims relating to the service is limited to the greater of the
amount you paid for Listo Pro in the 12 months before the claim arose, or US$50.
These limits don’t apply to liability that can’t be limited by law, such as for death
or personal injury caused by negligence, or for fraud. If you live in the European
Union or the United Kingdom, we are responsible for loss or damage you suffer that is
a foreseeable result of our breaking these terms or failing to use reasonable care,
and these limits apply only as far as your local law allows.
17. Indemnity
To the extent permitted by law, if someone brings a claim against us because of
content you added or because you broke these terms or the law, you agree to cover the
reasonable losses and costs (including legal fees) that we incur as a result. This
doesn’t apply to consumers where local law doesn’t allow it.
18. Governing law and disputes
If you have a problem with Listo, please email us first at
support@heylisto.app. Most issues can be
sorted out quickly, and we ask that you give us 30 days to try before starting a
formal claim.
These terms are governed by the laws of the State of Texas and the United States,
without regard to conflict-of-law rules. Any dispute that isn’t resolved informally
will be brought in the state or federal courts located in Jefferson County, Texas, and
you and we consent to their jurisdiction, except that either of us may bring an
individual claim in small-claims court where it qualifies. If you live in the European
Union, the United Kingdom or another place whose laws give you the right to use your
local courts or keep the protection of your local consumer law, nothing here takes
those rights away.
19. Changes to these terms
We may update these terms from time to time, for example when we change features or
the law changes. We’ll update the effective date at the top of this page. If a change
is material, we’ll tell you in the app or on this website before it takes effect. By
continuing to use Listo after a change takes effect, you accept the updated terms; if
you don’t agree, you can stop using Listo and delete your account.
20. General
These terms and our privacy policy are the whole agreement between you and us about
Listo, and replace any earlier ones.
If any part of these terms can’t be enforced, the rest stays in effect. If we don’t
enforce a term right away, we haven’t given up the right to enforce it later.
You may not transfer these terms to someone else. We may transfer them to a company
that takes over Listo, as long as your rights under them are not reduced.
We aren’t responsible for delays or failures caused by events outside our reasonable
control, such as outages at our providers or network failures.
If these terms are translated, the English version controls where the law allows.
